Terms and Conditions

The terms governing your use of RewardLion, including the Virtual Executive HQ, RewardLion World, the Command Center, our applications, our AI agents, our subscriptions, and the 90-day buildout program.

These Terms supersede the Terms and Conditions dated March 15, 2026.

1. Who We Are and Acceptance of These Terms

RewardLion is operated by Global Digital Business Solutions LLC, a Florida limited liability company, 333 Las Olas Way, Suite 1, Fort Lauderdale, FL 33301 ("RewardLion," "we," "us," or "our").

By accessing or using any part of the Platform (defined below), you agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree, you may not use the Platform.

These Terms apply to everyone who uses the Platform, including business owners and their staff, Certified AI-Powered Solution Specialists (CAPSS™), Power Partners, affiliates, and visitors.

RewardLion provides an AI-powered business operating system paired with certified CAPSS™ teams to deliver marketing, sales, and business growth solutions.

The 90-day buildout program is a structured deployment that includes strategy, platform setup, campaign launch, and optimization. Results vary with industry, market conditions, and client participation.

RewardLion World and the Command Center. A public showcase of RewardLion World is available at admin.rewardlion.com without an account. Staff and leadership areas require sign-in through the CAPSS™ login. What a signed-in person can see and enter depends on their role and on the teams they already belong to.

AI Agents. AI Agents, including ZICO™, operate inside the Platform as described in our AI Terms.

Custom builds. If RewardLion builds a Command Center or similar environment for your organization, that work is governed by a separate written Custom Command Center Build Agreement, not by these Terms alone.

We continuously update the Platform. We may modify, suspend, or discontinue any part of the Services with reasonable notice.

4. Accounts and Access

You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at info@rewardlion.com of any unauthorized use.

Access to staff and leadership areas is granted only through the CAPSS™ login. You may not share access, attempt to enter areas you have not been granted, or circumvent any access control.

5. Subscriptions and Payments

We offer subscription plans with different features and pricing. By subscribing, you agree to pay the fees described on our pricing page or in your service agreement.

Subscriptions renew automatically (monthly or annually) unless otherwise stated. You authorize us to charge your payment method for all applicable fees and taxes.

You may cancel at any time through your dashboard or by contacting support. Cancellation takes effect at the end of the current billing period. Refunds are subject to our refund policy.

We may change pricing with 30 days' written notice. Continued use after a price change means you accept the new pricing.

All prices, fees, and payments are stated and paid in United States dollars unless your service agreement says otherwise.

6. Your Responsibilities

You agree to use the Platform only for lawful business purposes and in compliance with all applicable laws, regulations, advertising rules, and platform policies. You may not use the Platform to distribute spam, malware, or unlawful content.

You are responsible for reviewing and approving AI-generated content, automated campaigns, and chatbot interactions before they reach the public, and for their compliance with consumer protection and advertising laws in your industry.

Health information. RewardLion provides sales and marketing services, including to clinics. RewardLion is not HIPAA compliant and is not a HIPAA business associate. We do not accept, store, or process protected health information (PHI), and we do not sign Business Associate Agreements. You must not send PHI through any RewardLion service, form, CRM, integration, upload, or message. Forms and campaigns we build collect contact and scheduling details only, not medical history, symptoms, diagnoses, or treatment details. If PHI reaches us by mistake, we delete it and notify you.

7. Intellectual Property

7.1 What we own. The Platform and everything in it is owned by Global Digital Business Solutions LLC or its licensors, including: software and source code; AI Agents, prompts, models, workflows, and automations; RewardLion World, the Virtual Executive HQ, and the Command Center, including their environments, layouts, characters, avatars, visual designs, sounds, and interactions; the CAPSS™ program, methods, certification materials, playbooks, and training; the AI+Human Execution Workforce™ model; the ZICO™ character and the ZICO™ coin artwork; courses and Learning Center content; and all names, logos, and marks. These rights are reserved worldwide, in perpetuity, in all media now known or later developed.

7.2 Our marks. REWARDLION BUSINESS SOLUTIONS® and the lion-head design are registered trademarks of Global Digital Business Solutions LLC (U.S. Reg. No. 7,137,216). REWARDLION™, CAPSS™, ZICO™, AI+Human Execution Workforce™, AI+Human Execution Workforce Agreement™ (AIHEWA™), and our product names are trademarks of Global Digital Business Solutions LLC. Nothing in these Terms grants you any right to use our marks.

7.3 Patent pending. The CAPSS AI Workforce is Patent Pending.

7.4 Your license. While your account is in good standing, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Platform for your internal business purposes, according to these Terms. All rights not expressly granted are reserved.

7.5 What you may not do. You may not, and may not allow anyone else to:

7.6 Your content. You keep ownership of the content, data, and materials you upload ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, use, process, reproduce, and display Your Content only as needed to provide and improve the Services for you.

7.7 Feedback. If you send us suggestions or ideas about the Platform, you assign to us all rights in that feedback, and we may use it without restriction or compensation.

7.8 Copyright complaints. If you believe content on the Platform infringes your copyright, email info@rewardlion.com with the subject line "Copyright Notice" and include the information required by 17 U.S.C. § 512(c)(3).

8. ZICO™

ZICO™ rewards are governed by our ZICO Rewards Terms. Any image, animation, or model of the ZICO™ coin on the Platform or our websites is an illustration only. ZICO™ is not offered for sale and is not an investment. Nothing on the Platform is an offer to sell, or a solicitation of an offer to buy, any security, token, or financial product.

9. Third-Party Services

The Platform connects to third-party services, such as Microsoft, payment processors, advertising platforms, and AI model providers. Your use of those services is subject to their terms. We are not responsible for third-party services.

10. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any specific results, rankings, leads, revenue, or return on ad spend.

11. Limitation of Liability

To the maximum extent permitted by law, RewardLion is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill. Our total liability for any claim arising from or related to these Terms or the Services will not exceed the amount you paid us in the twelve (12) months before the claim.

12. Indemnification

You agree to indemnify and hold harmless RewardLion, its members, officers, employees, and contractors from any claims, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Services, or your breach of these Terms.

13. Suspension and Termination

We may suspend or terminate your access immediately if you breach these Terms, misuse the Platform, or create risk for us or other users. Sections 7, 8, 10, 11, 12, and 14 survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute arising from or related to these Terms or the Services will be resolved by binding arbitration in Fort Lauderdale, Florida, under the rules of the American Arbitration Association. You waive any right to participate in a class action or class-wide arbitration; all claims must be brought individually. Either party may seek injunctive relief in court to protect its intellectual property.

15. Changes to These Terms

We may update these Terms. We will give at least 30 days' notice of material changes by email or on the Platform. Continued use after the effective date means you accept the updated Terms.

These Terms work together with our Privacy Policy, Privacy & Security, AI Terms, App Policy, AI+Human Execution Workforce Agreement™ (https://www.rewardlion.com/legal/aihewa), and ZICO Rewards Terms. If a specific document conflicts with these Terms on its own subject, the specific document controls.

The Affiliate Agreement is separate. You do not need to accept it to use the Platform or to enter the Virtual Executive HQ; it applies only if you join the affiliate or Power Partner program.
